Terms & Conditions

1.Introduction

 

1.1 STT Website: stevetowers.tax is an open-access (non-paywall, non-subscription) website (the “STT Website”) which contains a curated set of international tax materials.

 

1.2 T&C apply to all visitors: These Terms & Conditions (“T&C”) apply to all visitors to the STT Website.

 

1.3 Contract: When you access and use the STT Website, you affirm that you have read these T&C and our Privacy Policy (which can be viewed on the STT Website) and you agree to be bound and abide by them. THIS IS A CONTRACT BETWEEN YOU AND II – PLEASE READ IT CAREFULLY. IF YOU DO NOT AGREE WITH THESE T&C AND OUR PRIVACY POLICY, YOU MUST NOT ACCESS THE STT WEBSITE.

 

1.4 Changes: We reserve the right to change these T&C at any time without prior notice. You can view the most current version of the T&C on the STT Website. Your use of the STT Website following any such change constitutes your agreement to follow and be bound by the T&C as changed.

 

1.5 Derogation: We shall not accept provisions in derogation of these T&C unless we have expressly confirmed them in writing.

 

1.6 Breaches and threatened breaches: If you breach, or threaten to breach, any of these T&C, we reserve the right to respond to the breach or threatened breach within the terms of the law, and without prior notification. Such response can include termination of your access to the STT Website, legal redress, or any other action deemed appropriate by us. If we pursue legal redress, we shall be entitled to recover from you all reasonable costs, expenses, and lawyers’ fees incurred in connection therewith.

 

2. Intellectual Property

 

2.1 Copyright in STT-owned material: The copyright of some of the material on the STT Website is owned solely by II. Such material is called “STT-owned material”.

2.2 Use of STT-owned material: You may use the STT-owned material solely for your own personal use and benefit and not for sale or other transfer or disposition to any other person. You shall not reproduce, copy, record, photograph, screenshot, store in any retrieval system, download, torrent, frame, hyperlink, publish, post, modify, transfer, exploit, share, distribute, or dispose of any STT-owned material (with or without consideration), which in any way infringes our copyright, without our express prior written permission. You shall not use the STT-owned material in any manner that might compete with, or adversely affect, our business, except with our express prior written permission.

 

2.3 The STT Website name (“stevetowers.tax”) is protected by copyright, which is owned solely by II. You shall not use the STT Website name without our express prior written permission.

3. Your obligations

3.1 Your undertakings: You undertake that you will:

 

  1. Comply with all applicable laws in relation to the STT Website, including (without limitation) laws relating to the use of intellectual property;

  2. Not use the STT Website in any way which breaches section 2 above, nor infringe any intellectual property or other rights in or relating to the STT Website or the STT-owned material;

  3. Not use the STT Website name in any way which breaches section 2 above;

  4. Not prevent or restrict, or in any way interfere with, the operation of the STT Website, including conduct which restricts or inhibits other users’ use or enjoyment of the STT Website, nor hack into or cause damage to any server or other equipment operated by us or on our behalf;

  5. Not “frame” or “mirror” all or any part of the STT Website;

  6. Not use any automated software program, spider, scraper, web-crawler, URL checker, robot, or other type of site search tool or other automated means to retrieve, index, data mine or otherwise access the STT Website, or reproduce any STT-owned material;

  7. Not use any automated software to access, download, or reproduce, in whole or in part, the STT Website or the STT-owned material;

  8. Not introduce any viruses, “Trojan horses”, worms, or other material which is malicious or technologically harmful, or attack the STT Website via a denial of service attack or a distributed denial of service attack; and

  9. Comply fully with these T&C.

 

3.2 Linking to the STT Website: You may provide links to the STT Website, provided that you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. However, you shall not create a link which suggests any form of association, approval or endorsement by us without our express prior written permission. Moreover, you shall discontinue providing links to the STT Website, if notified to do so by us.

 

4. Liability

 

4.1 Not legal, etc. advice: All the material on the STT Website is made available solely for general information purposes. That material is not provided by us as legal, accounting, tax, financial or other professional advice, opinion, or recommendation, and it shall not be used as such. If legal or other professional assistance is required, you should seek the services of a competent professional.

 

4.2 No reliance, no warranties: You use all or any part of the material on the STT Website strictly at your own risk. You should not rely on all or any part of the material on the STT Website in making decisions to take action, or inaction, in regard to tax or other matters. All the material on the STT Website is provided “as is” and “as available”. II, its employees and directors (collectively, the “II Parties”) do not represent, warrant or guarantee the accuracy, completeness, usefulness, or timeliness of all or any part of the material on the STT Website, and the II Parties do not represent, warrant or guarantee that such material will meet your needs or expectations. The II Parties disclaim all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for a particular purpose or use.

4.3 Accessibility, etc. of STT Website: The II Parties do not represent or warrant that the STT Website will always be accessible, or that it will be error-free, complete, secure, reliable, or accurate. Although we aim to provide access to the STT Website twenty-four (24) hours per day, every day, the II Parties are not liable for periods of non-accessibility and the II Parties shall not be liable for any damage caused by a malfunction or a period when the STT Website is not accessible.

4.4 Compatibility: The II Parties do not represent, warrant or guarantee that the STT Website is compatible with your computer/device.

4.5 Viruses, etc.: The II Parties do not represent, warrant or guarantee that the interactions between your computer/device and the STT Website, or any linked website or resources, will not expose your computer/device to viruses, other malicious code, unauthorised access, or other security breaches. You are responsible for implementing appropriate and sufficient anti-virus and similar protection for your computer/device. The II Parties will not be liable for any loss or damage caused by any such security breach, a denial of service attack, a distributed denial of service attack, viruses or other technologically harmful material which might infect your computer/device due to interactions with the STT Website or with any linked website or resources.

 

4.6 Linked websites and resources: The STT Website might contain links to other websites and resources provided by third parties. If so, these links are provided for your convenience only. The II Parties have no control over the availability, content or accuracy of those websites or resources, and the II Parties accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third party websites or resources linked to the STT Website, you do so at your own risk and subject to the terms and conditions of use for such websites and resources.

 

4.7 Liability: The II Parties shall not be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the STT Website, any linked websites or resources, all or any part of the material on the STT Website, or all or any part of the content on any linked websites or resources, including any direct, indirect, special, incidental, consequential, punitive or exemplary damages, including but not limited to personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable and even if the II Parties have been advised specifically of the possibility of such damages.

4.8 Limitation of exclusions: The foregoing does not affect any warranty or liability which cannot be excluded under applicable law.

4.9 Sole and exclusive remedy: Notwithstanding the foregoing, your sole and exclusive remedy, and the II Parties’ entire liability, shall be five hundred US dollars (US$500).

4.10 Deadline: No action, regardless of form, arising out of or pertaining to the STT Website, may be brought by you more than 12 months after the event (giving rise to such claim) occurs.

4.11 Indemnity: You agree to defend, indemnify and hold harmless the II Parties against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable lawyers’ fees) directly or indirectly arising out of, relating to, or caused by your breach of these T&C.

 

5. Privacy Policy

 

5.1 Privacy Policy: The most current version of our Privacy Policy is hereby incorporated into these T&C. It can be viewed on the STT Website.

 

6. Governing Law & Exclusive Jurisdiction

 

6.1 Governing Law & Exclusive Jurisdiction: These T&C shall be governed by and construed in accordance with the laws of Singapore. All disputes between the parties shall be subject to the exclusive jurisdiction of the courts of Singapore. You waive all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. In particular, you agree not to assert a defence of forum non conveniens, sovereign immunity, Act of State, or analogous doctrines in connection with any such action.

 

7. Invalid Terms

 

7.1 Invalid, etc. terms: If any part of these T&C is determined by a competent authority to be invalid, illegal or unenforceable for any reason, such part shall be severed from the remaining T&C, which shall continue to be valid and enforceable to the fullest extent permitted by law.

 

8. No waiver

 

8.1 No waiver: If we waive any of these T&C or fail to assert a right or provision in these T&C, it will not be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, nor will it constitute a waiver of such right or provision.

 

9. Third Party Rights

 

9.1 Third party rights: Except in regard to section 4 (where there are provisions for the benefit of the II Parties), a person who is not a party to a contract which includes these T&C has no right under the Contracts (Rights of Third Parties) Act, Chapter 53B of Singapore to enforce or enjoy the benefit of these T&C. Notwithstanding any provision in these T&C, the consent of any third party is not required for any change (including any release or compromise of any liability under) or termination of any contract which includes these T&C.

 

10. Survivability

 

10.1 Survivability: The obligations, acknowledgements, representations, warranties, indemnities, limitations, and rights which are contained in sections 2, 3, 4, and 5 shall survive the termination of any contract which includes these T&C.

11. Assignment

11.1 Assignment: You may not assign these T&C or the rights hereunder without our express prior written permission.

12. Entire Agreement

12.1: These T&C and the Privacy Policy constitute the sole and entire agreement between you and us with respect to the STT Website, and supersede all prior and contemporaneous understandings, agreements, representations and warranties, whether written and/or oral, between you and us.

13. Other

13.1 Definitions: The following definitions are used in these T&C:

 

  • “II” and “we” (and cognate words) mean International Insights Pte Ltd, a limited liability company formed under the laws of Singapore, and which has its registered office at #09-01, 20 Collyer Quay, Singapore, 049319;

  • “II Parties” means II, its employees and directors;

  • “STT Website” means the internet website, www.stevetowers.tax;

  • “STT-owned material” means the material on the STT Website, the copyright in which is owned solely by II; and

  • “Privacy Policy” means our Privacy Policy and Data Protection, which can be viewed on the STT Website.
